These Terms of Service (“Terms”) govern your access to and use of the Palm Beach Bites website, directory platform, listings, digital menus, paid services, and other features and services offered by Palm Beach Bites LLC (“Palm Beach Bites,” “we,” “our,” or “us”).

By accessing or using Palm Beach Bites, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. The Palm Beach Bites Service

Palm Beach Bites provides a restaurant and local dining discovery platform that may include:

  • Restaurant and business directory listings

  • Restaurant profiles and information

  • Editorial articles and other content

  • Events and local discovery information

  • Digital menus

  • Restaurant claiming and management tools

  • Reviews, ratings, comments, or other user-generated content

  • Reservation, inquiry, ordering, or transaction-related features

  • Free and paid business services

  • Advertising, promotional, marketing, or enhanced visibility services

  • Other features that may be introduced from time to time

Some features may be provided directly by Palm Beach Bites, while others may be provided or facilitated through third-party service providers.

2. Eligibility and Accounts

Certain features may require you to create an account, claim a listing, or provide information about yourself or a business.

You agree to provide accurate and current information and to maintain the confidentiality of your account credentials.

You are responsible for activity conducted through your account.

If you claim or manage a business listing, you represent that you are the owner of the business or are otherwise authorized to act on its behalf.

3. Directory Listings and Business Information

Palm Beach Bites may create and maintain restaurant or business listings using information obtained from business owners, authorized representatives, publicly available sources, third-party data providers, or other sources we reasonably believe to be reliable.

Business listings may include information such as business name, location, category, contact information, website, hours, menus, photographs, descriptions, and other publicly available business information.

Palm Beach Bites does not guarantee that all listing information is complete, current, or error-free.

Business owners or authorized representatives may contact us regarding corrections or updates.

Palm Beach Bites reserves the right to create, edit, categorize, verify, update, suspend, or remove listings when reasonably necessary to maintain the quality, accuracy, security, or integrity of the Service.

4. Claimed Listings

By claiming, managing, or submitting information for a listing, you agree that:

  • The information you provide is accurate and truthful.

  • You are authorized to represent the business.

  • You will maintain reasonably accurate listing information.

  • You will not submit fraudulent, deceptive, misleading, infringing, or unlawful information.

  • You will not impersonate another business or individual.

Claiming a listing does not transfer ownership of the Palm Beach Bites listing page, platform, underlying directory data, design, or technology to the business.

5. Free and Paid Services

Palm Beach Bites may provide both free and paid listings, subscriptions, premium features, advertising, promotional services, digital menu services, reputation-related services, or other products.

Features, pricing, and benefits associated with a particular plan may vary and will be described when the service is purchased or activated.

Palm Beach Bites may modify the features included with free or paid services from time to time.

Material changes affecting an existing paid subscription will be handled in accordance with the applicable subscription terms and law.

6. Payments, Billing, and Subscriptions

Paid services may require payment through a third-party payment processor.

By purchasing a paid service, you authorize the applicable charges disclosed at the time of purchase.

For recurring subscriptions, you authorize recurring charges according to the billing frequency and pricing presented when you subscribe until the subscription is canceled.

Prices, billing intervals, renewal terms, cancellation procedures, and any applicable refund terms will be disclosed during the purchase or subscription process.

Payment processing may be subject to additional terms and privacy practices of the applicable payment processor.

Palm Beach Bites does not guarantee that any particular payment method will remain available.

7. Cancellations and Refunds

Cancellation and refund eligibility for paid Palm Beach Bites services will be governed by the terms presented at the time of purchase or subscription.

Unless otherwise stated, cancellation of a recurring subscription prevents future renewal charges but does not automatically entitle the subscriber to a refund for amounts already paid.

Nothing in these Terms limits any refund, cancellation, or other rights required by applicable law.

8. Digital Menus, Ordering, Reservations, and Transactions

Palm Beach Bites may provide or integrate features allowing users to view menus, make inquiries, request or make reservations, initiate or place orders, purchase products or services, or otherwise interact with participating restaurants or businesses.

Restaurants remain responsible for their own products and services, including, where applicable:

  • Menu information and pricing

  • Food preparation

  • Ingredient and allergen information

  • Product availability

  • Order accuracy

  • Fulfillment

  • Restaurant policies

  • Customer service

  • Taxes and fees for which the restaurant is responsible

  • Compliance with applicable food-service and business regulations

Where Palm Beach Bites facilitates a transaction involving a restaurant or third-party provider, additional terms may apply.

Unless expressly stated otherwise, Palm Beach Bites is not the restaurant, food preparer, delivery provider, or reservation provider.

9. Restaurant Menus, Pricing, and Information

Restaurants and businesses are responsible for information they provide or control through claimed listings, digital menus, promotions, and related features.

Prices, menu items, availability, hours, promotions, and other restaurant information may change without notice.

Users should confirm information directly with the restaurant when it is important to their purchasing or dining decision.

10. User Content, Reviews, and Feedback

Palm Beach Bites may allow users or businesses to submit reviews, ratings, photographs, comments, responses, feedback, or other content (“User Content”).

You represent that:

  • You have the right to submit the content.

  • The content does not violate applicable law.

  • The content does not infringe intellectual property, privacy, publicity, or other rights.

  • The content is not fraudulent, defamatory, deceptive, threatening, or otherwise prohibited by these Terms.

By submitting User Content, you grant Palm Beach Bites a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, format, and otherwise use the content as reasonably necessary to operate, promote, and improve the Service.

You retain any ownership rights you otherwise have in your User Content.

Palm Beach Bites may remove or restrict content that violates these Terms, applicable law, or platform policies.

11. Editorial Content and Recommendations

Palm Beach Bites may publish articles, restaurant spotlights, guides, recommendations, photographs, rankings, collections, or other editorial content.

Editorial content is provided for informational and discovery purposes and may reflect editorial judgment.

Inclusion in the Palm Beach Bites directory does not constitute an endorsement or guarantee of a restaurant or business.

Where content is sponsored, paid, or promotional, Palm Beach Bites may identify it as such where required or appropriate.

12. Intellectual Property

Unless otherwise stated, Palm Beach Bites LLC owns or licenses the intellectual property associated with the Palm Beach Bites website, branding, original editorial content, directory organization, design, and platform functionality.

You may use Palm Beach Bites for lawful personal or business discovery purposes.

Without authorization, you may not:

  • Republish substantial Palm Beach Bites content

  • Sell, rent, or sublicense Palm Beach Bites content or directory data

  • Systematically scrape, harvest, download, or extract directory data

  • Reproduce substantial portions of the directory for commercial purposes

  • Redistribute Palm Beach Bites proprietary content or databases

  • Use Palm Beach Bites branding or logos in a manner that implies endorsement or affiliation

Nothing in these Terms gives Palm Beach Bites ownership of intellectual property belonging to restaurants, users, or third parties.

13. Acceptable Use

You may not use Palm Beach Bites to:

  • Violate applicable law

  • Commit fraud or impersonate another person or business

  • Submit knowingly false or misleading information

  • Interfere with website security or operation

  • Introduce malware or malicious code

  • Attempt unauthorized access to accounts or systems

  • Harvest personal information improperly

  • Abuse reviews, ratings, communications, or promotional features

  • Use automated systems to access or extract substantial portions of the Service without permission

  • Engage in conduct that materially disrupts Palm Beach Bites or other users

14. Links and Third-Party Services

Palm Beach Bites may link to or integrate with restaurant websites, reservation services, ordering platforms, delivery providers, payment processors, social media platforms, mapping services, and other third-party services.

Palm Beach Bites does not control independently operated third-party services and is not responsible for their availability, content, privacy practices, products, or performance.

Use of third-party services may be subject to their own terms and policies.

15. Linking to Palm Beach Bites

Government agencies, search engines, news organizations, online directories, restaurants, businesses, and other websites may generally link to publicly accessible Palm Beach Bites pages provided that the link:

  • Is not deceptive

  • Does not falsely imply endorsement, sponsorship, or partnership

  • Does not misrepresent the relationship with Palm Beach Bites

Use of Palm Beach Bites logos, trademarks, or other branding requires permission unless otherwise permitted by law.

16. Frames and Embedding

You may not frame or embed Palm Beach Bites in a manner that materially alters its appearance, misrepresents its source, or implies an unauthorized affiliation without written permission.

17. Communications

By providing contact information to Palm Beach Bites, you agree that we may send communications necessary to operate your account, listing, transaction, or service.

Marketing email or SMS communications will be sent in accordance with applicable consent requirements.

You may opt out of marketing communications using the unsubscribe or opt-out mechanisms provided.

Opting out of marketing communications does not prevent Palm Beach Bites from sending transactional or service-related communications where appropriate.

18. Suspension and Termination

Palm Beach Bites may suspend, restrict, or terminate access to accounts, claimed listings, paid features, or other services where reasonably necessary because of:

  • Violation of these Terms

  • Fraudulent or abusive activity

  • Nonpayment

  • Security concerns

  • Legal requirements

  • Misuse of the platform

Termination of a paid service does not eliminate payment obligations incurred before termination.

19. Disclaimer of Warranties

Palm Beach Bites provides the Service on an “as is” and “as available” basis to the fullest extent permitted by law.

Palm Beach Bites does not guarantee:

  • The accuracy or completeness of every listing

  • Restaurant availability, menu items, pricing, or hours

  • Website uptime or uninterrupted access

  • Particular search-engine rankings

  • Leads, customers, traffic, revenue, reviews, or business results

  • The performance of restaurants or third-party services

  • That every error or interruption will be corrected immediately

Use of Palm Beach Bites is at your own discretion and risk.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Palm Beach Bites LLC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Service.

Palm Beach Bites will not be responsible for disputes between users and restaurants or businesses, including disputes involving food, service, reservations, orders, payments handled by third parties, or other restaurant transactions, except to the extent liability cannot legally be excluded.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Palm Beach Bites LLC and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Content you submit

  • Your business listing or menu information

  • Your misuse of the Service

  • Your violation of these Terms

  • Your violation of another person's rights

22. Removal and Correction Requests

If you believe a listing, link, photograph, review, or other content is inaccurate, unlawful, infringing, or inappropriate, you may contact Palm Beach Bites.

We may review and take appropriate action but are not obligated to remove lawful content merely upon request.

23. Changes to the Service or Terms

Palm Beach Bites may modify, add, suspend, or discontinue features as the platform evolves.

We may also update these Terms periodically.

Updated Terms will be posted with a revised effective date. Where required by law, additional notice or consent will be provided.

Continued use of the Service following the effective date of updated Terms constitutes acceptance where permitted by law.

24. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be subject to applicable state and federal laws and jurisdictional requirements.

25. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

26. Entire Agreement

These Terms, together with the Palm Beach Bites Privacy Policy and any additional terms presented for specific paid products or services, constitute the agreement governing use of the applicable Palm Beach Bites services.
